Job Description:

We are looking for a Corporate Transaction Attorney with 2-5+ years of experience in corporate law to handle a variety of transactional matters. The ideal candidate will have a strong background in drafting and negotiating contracts, conducting due diligence, and advising clients on corporate governance and compliance issues.Key Responsibilities:

• Manage and oversee corporate transactions, including mergers, acquisitions, and joint ventures.
• Draft, review, and negotiate a wide range of corporate documents, including purchase agreements, shareholder agreements, and operating agreements.
• Conduct thorough due diligence and prepare reports on findings.
• Advise clients on corporate governance, compliance, and regulatory matters.
• Collaborate with clients to understand their business objectives and provide strategic legal advice.
• Stay updated on changes in corporate law and regulations to ensure compliance and best practices.
• Assist in business development efforts and maintain strong client relationships.Qualifications:
• Juris Doctor (JD) from an accredited law school.
• Admission to the state bar in California.
• 2-5 years of experience in corporate transactional law.
• Strong understanding of corporate governance and regulatory requirements.
• Excellent drafting, negotiation, and communication skills.
• Ability to work independently and as part of a collaborative team.
